Terms of Service

1. Acceptance of Terms

By accessing or using Fixl's website and services, you agree to be bound by these Terms of Service. If you do not agree, please do not use our services.

2. Services

Fixl provides software engineering services including custom software development, architecture review, AI/ML engineering, team augmentation, and startup programs. Specific terms for each engagement are defined in individual Statements of Work (SOW) or service agreements.

3. Intellectual Property

Unless otherwise specified in a project agreement:

• Client retains ownership of all deliverables upon full payment
• Fixl retains ownership of proprietary tools, frameworks, and methodologies
• Open source components remain under their respective licenses

4. Confidentiality

We treat all client information as confidential. NDA agreements are available upon request and can be initiated through any of our forms by checking the NDA checkbox.

5. Startup Programs

Fixl startup grants are issued as platform credits only. Credits are:

• Non-cash and carry no monetary value
• Non-transferable between entities
• Redeemable only for Fixl engineering services
• Subject to a 12-month expiration from date of issuance

6. Payment Terms

Payment terms are defined in individual project agreements. Standard terms are Net 30 from invoice date unless otherwise agreed.

7. Limitation of Liability

Fixl's total liability shall not exceed the fees paid by client for the specific services giving rise to the claim. We are not liable for indirect, incidental, or consequential damages.

8. Termination

Either party may terminate an engagement with 30 days written notice. Client will be invoiced for work completed up to the termination date.

9. Governing Law

These terms are governed by the laws of the State of Delaware, United States.
